1. Acceptance of Terms

By accessing or using the First Hire ContractIQ Client Portal ("the Portal") at portal.fhcontractiq.com, you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not access or use the Portal. These terms apply to all visitors and registered users of the Portal.

2. Access and Eligibility

Access to the Portal is by invitation only. You may only use the Portal if you have received an invitation from a First Hire ContractIQ administrator. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. You are responsible for keeping your access credentials confidential and for all activity that occurs under your account.

3. Permitted Use

The Portal is provided solely for the purpose of viewing your project and contract information as managed by First Hire ContractIQ on your behalf. You agree to use the Portal only for lawful purposes and in accordance with these Terms. You must not:

• Share your access credentials with any third party
• Attempt to gain unauthorised access to any other user's data or any systems connected to the Portal
• Use any automated tools, bots, or scrapers to extract data from the Portal
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Portal
• Use the Portal in any manner that could damage, disable, overburden, or impair its operation

4. Intellectual Property

All content, features, and functionality of the Portal — including but not limited to the software, design, text, graphics, and logos — are the exclusive property of First Hire ContractIQ or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Portal or its content.

Project data and contract documents made available to you through the Portal remain the property of First Hire ContractIQ and/or the relevant contracting parties, as applicable.

5. Data and Privacy

Your use of the Portal is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Portal, you consent to the collection and use of your information as described in the Privacy Policy.

6. Offline Access

The Portal may cache certain project and contract data on your device to enable offline viewing. You acknowledge that this locally stored data remains subject to these Terms and must not be disclosed to unauthorised parties. You are responsible for securing your device against unauthorised access.

7. Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Portal or any part of it at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Portal. We may also update these Terms at any time; continued use of the Portal after an update constitutes your acceptance of the revised Terms.

8. Disclaimer of Warranties

The Portal is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Portal will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, First Hire ContractIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Portal, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the Portal shall not exceed the amount you have paid us, if any, in the three months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Saint Lucia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Saint Lucia, unless otherwise agreed in writing.

11. Termination

We reserve the right to suspend or terminate your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.
